Sales Terms & Conditions

These terms govern all orders placed with NAPCO Pump Company. Please review before submitting a purchase order.

1. Orders & Acceptance

All orders are subject to acceptance by NAPCO Pump Company, LLC. Submission of a purchase order does not constitute a binding contract until NAPCO confirms acceptance in writing. NAPCO reserves the right to decline any order at its discretion.

2. Pricing

Prices are quoted in U.S. dollars and are valid for 30 days from the date of quotation unless otherwise stated in writing. NAPCO reserves the right to adjust pricing due to material cost changes, currency fluctuations, or other factors prior to order acceptance.

3. Payment Terms

Payment in advance is standard for all orders. Established accounts may qualify for extended payment terms — contact us to discuss your account.

  • International orders: Payment in full by wire transfer is required before shipment — no exceptions.
  • ACH and wire transfer are the preferred payment methods for domestic orders.
  • Past-due balances accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.

4. Lead Times

Standard lead time is 6–8 weeks from order acceptance. Lead times are estimates only and are not guaranteed. NAPCO will notify the customer of any significant delays. NAPCO is not liable for delays caused by supply chain disruptions, force majeure, or circumstances beyond its control.

5. Shipping & Risk of Loss

  • Domestic orders: FOB Origin, Sandy, Utah. Risk of loss transfers to the buyer upon delivery to the carrier.
  • International orders: EXW (Ex Works) Sandy, Utah unless otherwise agreed in writing.
  • NAPCO does not ship on customer freight accounts. All shipments are arranged by NAPCO or picked up by the customer.
  • Freight charges are the responsibility of the buyer unless otherwise specified in the quotation.
  • Packing and handling fees always apply.
  • NAPCO is not responsible for damage, loss, or delays in transit.

6. Inspection & Claims

Buyer must inspect all goods upon receipt. Any claims for shortage, damage, or non-conformance must be submitted in writing within 5 business days of receipt. Failure to notify NAPCO within this period constitutes acceptance of the goods as delivered.

7. Returns & Cancellations

  • All sales are final unless otherwise agreed in writing prior to shipment.
  • Custom or made-to-order products are non-returnable and non-cancellable once production has begun.
  • Returns, if authorized, are subject to a restocking fee of up to 25% and must be returned freight prepaid in original condition.
  • Order cancellations after acceptance may be subject to cancellation fees reflecting costs incurred.

8. Limited Warranty

NAPCO warrants its products to be free from defects in materials and workmanship for a period of one (1) year from the date of shipment. This warranty does not cover damage resulting from misuse, improper installation, unauthorized modification, normal wear and tear, or operation outside of published specifications. NAPCO's sole obligation under this warranty is, at its discretion, to repair or replace the defective product. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

NAPCO's total liability for any claim arising from the sale of its products shall not exceed the purchase price of the specific product giving rise to the claim. IN NO EVENT SHALL NAPCO BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND.

10. Export Compliance

Buyer is responsible for compliance with all applicable export control laws and regulations. Buyer agrees not to export or re-export NAPCO products in violation of U.S. export laws.

11. Governing Law

These terms are governed by the laws of the State of Utah. Any disputes shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.
